Constitution and Rules
CONSTITUTION:
1. Title
The name of the Club shall be the “Alresford Badminton Club” hereinafter referred to as the Club.
2. Affiliation
The club shall be affiliated to the Badminton Association of England and local leagues.
3. Objectives
a)To promote an interest in Badminton.
b)To provide facilities for members to play Badminton and to provide information, advice and assistance on matters connected with Badminton.
c)To afford members such benefits and privileges as it may be possible to arrange.
4. Membership
Persons of not less than 16 years of age shall be eligible for full membership and persons under this age for junior membership. All membership applications are subject to the approval of the Committee.
5. Management
The authority and responsibilities for the transactions of the business of the Club for its management shall be vested in a Committee.
6. Officers
The Officers shall be a Chairman, Secretary, Treasurer and Match Secretary (ex officio), who shall hold office until the next Annual General Meeting.
7. Joint Offices
Where an office is held jointly by two persons, or where there is a deputy or assistant to an officer, then BOTH persons in such a case shall be ex-officio members of the Committee.
8. Committee
The Committee shall comprise the Officers together with not less than four members who shall be elected at the Annual General Meeting. The Committee shall have power to co-opt additional members of the Club onto the Committee as required. In any Committee meeting a Quorum shall be not less than half the members of the Committee or four whichever is the larger.
RULES:
1. Meetings of the Committee
The Committee shall meet whenever summoned by the Chairman, who may convene meetings of his/her own accord, or on a requisition signed by a minimum of one half of the Committee.
2. Absence from Committee Meetings
Any member of the Committee who shall, without sufficient reason, absent himself or herself from three consecutive meetings will be understood to have resigned his/her position upon that Committee.
3. Voting at Committee Meetings
Each member present at a meeting of the Committee of the Club shall be entitled to the exercise of one vote. The Chairman shall not vote except in the course of a casting vote. A simple majority will carry a resolution.
4. Duties of Secretary
It shall be the duty of the Secretary to attend in person, or by deputy, all meetings of the Club and to take minutes of the proceedings. Such minutes shall be recorded and presented for confirmation at the following meeting. In addition he/she shall carry out all duties requested of the Secretary by the meeting, so far as they are consistent with these rules and constitution.
5. Finances
All monies of the Club shall be banked by the Treasurer, or by deputy, in the name of the Club at a bank approved by the Committee. Cheques shall be signed by any two of the Chairman, Secretary or Treasurer and all expenses shall be authorised by the Committee.
6. Subscriptions
The annual subscription shall be such an amount as shall be determined at an Annual General Meeting of the Club. Such subscription is to be payable within one calendar month of the commencement of the season. The Committee may approve the following discounts and concessions:
a) Early payment
b) Family membership
c) Junior membership
d) Student / full time education
e) Part season membership
f) Allowance for paid visitor fees
7. Visitor Fees
Visitors are welcome to play in exchange for a fee, as agreed at the AGM.
8. The Annual General Meeting
The AGM of the Club shall be held as soon as possible following the end of the season in each year upon a date and time to be fixed by the Committee. Alternative nominations to the Chairman and Officers should be submitted to the Secretary not less than 7 days prior to the AGM. The Annual General Meeting shall:
a) Receive a full statement of account, independently checked and signed as correct by a non-member, showing receipts and expenditure for the year ended.
b) Receive from the Committee a report of the activities of the Club during the said year.
c) Elect Officers and Committee
d) Decide any special resolutions.
9. Special General Meeting
A Special General Meeting maybe convened by direction of the Committee, or on requisition to the Secretary, stating the business for which the SGM is required and signed by not less than six members. If the meeting so requisitioned is not convened within 21 days, the said members may convene the meeting. Ten members shall form a quorum.
10. Notice and Voting at Annual General and Special General Meeting
At least 14 days notice of these meetings must be given with the wording of any special resolutions to be considered. Non receipt by an individual member shall not invalidate the proceedings. Only full members may vote at the Annual and Special General meeting. A simple majority will decide a resolution unless it is to amend these Rules or Constitution when a two thirds majority of those present is required. If a resolution not on the Agenda for the meeting is made, then it maybe considered if all persons present agree. Otherwise if it is formally proposed and seconded then the wording of the resolution must be forwarded by post to all members and a postal ballot taken.
11. Junior Members and Beginners
The Committee may restrict the use of the courts by Junior Members and Beginners. The Committee shall endeavour to provide coaching for Junior Members and Beginners.
12. Observance and Interpretation of Rules
Every member binds him/herself to abide by the Rules of the Club and also by any modification thereof made in conformity with such rules. Members are also to accept as final and binding the decision of the Committee in all cases of dispute or disagreement as to the interpretation of these rules.
13. Cancellation of Membership
Should a member terminate or have terminated their membership they will not be entitled at any time to a refund of their paid up membership fee, or have any claim to assets or funds of the club.
Any member whose conduct shall, in the opinion of the Committee or on the representations of not fewer than six members, be deemed to be prejudicial to the best interest of the Club shall, after due consideration by the Committee and on a vote of not fewer than two thirds of the total membership of the Committee, be requested to cease the conduct complained of. If he/she does not then comply within a time limit imposed by the Committee, the matter shall be referred to a Special General Meeting and be resolved by a majority of not less than two thirds of those present. If more than five members present at such a SGM so demand, voting thereat shall be by ballot.
14. Dissolution
On a decision being reached to dissolve the Club, the disposition of all assets remaining after settlement of due debts shall be agreed at the same meeting.
15. Alteration of Rules
The Constitution and Rules may be altered by Special Resolution, in accordance with rule 10.
16. Copies of Rules
Every member shall be furnished with a copy of the Club Constitution and Rules.
